www.companieshouse.org.uk is where to file for your companies incorporation.

I would suggest speaking to a lawyer or accountant as you have to have certain things, Articles of Association, Minutes of Meetings appointing directors and company secratary.

You could try www.treasureguard.com to see if they can help. They act as accountants for my company and keep me right with Tax etc. They also setup the Limited Company for me and produced all the required documentation, share certificates etc.

Tell them Gary Hay from GEAC Ltd recommended them please.

Companies House is where you need to start.

They will help you get "incorporated".

You should also decide is you need a Ltd Company or a Limited Liability Partnership.

I have one of each for two different businesses that i have.

You will also need to decide if you need to be VAT registered or not, and if you do apply for your VAT registration ASAP as I know they have a backlog at the moment.
 
Most of the process such as appointing directors and company secretaries is just filling in a form.

Be wary of paying too many professionals to do form filling for you.

If you're switched on you can do it yourself, but it may be quicker to use an incorporation agent such as the one suggested in the above post.

Its very early days but I had a meeting the other day with with large firm and it all needs to be done properly you know.

Also what would be the scenario with VAT. Surely we have to generate a certain level of annual turnover before we get VAT registered?

I do know some people start up their companies and register straight away for VAT as a way of scoring some credibility points.
 
I would recommend registering for VAT.

It does give the impression of being a small outfit if you're not.

And i found even when starting off small it's better to give the impression that you are as bigger rather than smaller.

You don't have to reach a particular turnover level before you register. I've just registered a company before any trasactions were recorded at all.

I would also recommend setting up a bank account off your main business account to accrue the vat you recieve from client payments. Then it'll all be there for your quarterly return.

Little measures and systems like his help enormously to allow you to concentrate on your business development rather than the administration of the business.

I am not sure of UK laws, but in the US you can set up a limited liability company. What this does is protect your personal assets in case you get sued or the business fails you can walk away with your home, car and the like. I would do this if it applies in the UK.

In fact if you charge VAT and dont get paid by a client you will have to pay the VAT man at the next return. This will also hike your price by 17.5% and if you don't but much that you can claim back for then it's IMHO not worth registering.

I am now on my 3rd Business. 1st with a partner, 2nd with an Umberella, now on my own.

Unless your customer uses the 'Self Billing' system, which gets around this problem.

Or, if not, and the debt becomes bad you can claim the VAT element back straight away now.
